General. One cannot train a person to be a member of a committee, because that is the role of a director, and because one seeks the benefit and expertise of the member’s experiences, integrity and common sense. Notwithstanding, it is an existing requirement of HD Faculty™ that every new director and committee member receives appropriate training on the first occasion that he or she is appointed to the Board of HD Faculty™, and subsequently as deemed necessary in respect to prevailing statutes or decrees.
Responsibilities. The Board has a wide range of responsibilities, in terms of corporate governance, its obligations to the stakeholders, the government, and also in terms of its management of HD Faculty™. Those responsible for ensuring that the Board discharges their obligations satisfactorily have an interest in ensuring that the presiding Board has the requisite skills and expertise to do its duties satisfactorily. This, of course, includes the skills and experience required for managing employment development relationships. While directors share its duties as directors, those deemed executive directors in particular have individual roles and responsibilities in relation to managing HD Faculty™'s day-to-day affairs.
Directors’ Initial Training. HD Faculty™ is of the opinion that, from time to time training of directors and committee members plays a significant role in the success of its business affairs. Thus, the training includes information about their responsibilities as a member of the Board and/or Committee(s) thereof, as well as information about their respective duties and responsibilities relating to HD Faculty™'s corporate governance.
Wide Range of Skills and Experience. HD Faculty™ is of the opinion that if the Board is to carry out its duties and responsibilities satisfactorily, it must contain among its members a wide range of skills and experience that are reflective of HD Faculty™. It is therefore imperative that HD Faculty™'s Board ensures that employment relationships are managed effectively in the manner prescribed.
Continuous Education. In order for HD Facut to provide its products and services in the prescribed manner, all directors, committee members, officers, employees, agents, and authorized representatives are required to undergo training, as and when the need arises, in respect to HD Faculty™'s prevailing rules and regulations related to continuous education and quality.
